DryShips Inc. (DryShips), incorporated in September 2004, is a holding company engaged in the ocean transportation services of drybulk cargoes and crude oil worldwide through the ownership and operation of drybulk carrier vessels and oil tankers and offshore drilling services through the ownership and operation of ultra-deepwater drilling units. As of December 31, 2011, DryShips owned and operated two fifth generation ultra-deepwater, semi-submersible offshore drilling rigs, the Leiv Eiriksson and the Eirik Raude, and four sixth generation, advanced capability ultra-deepwater drillships, the Ocean Rig Corcovado, the Ocean Rig Olympia, the Ocean Rig Poseidon and the Ocean Rig Mykonos. Ltd. DryShips contracted for and completed the sale of the drybulk ves sels Avoca and Padre, which were delivered to their new owners, on February 14, 2012 and February 24, 2012, respectively.

Drybulk Operations

The Company manages the deployment of its drybulk fleet between long-term and short-term time charters. A time charter is a contract to charter a vessel for a fixed period of time at a specified or floating daily or index-based daily rate and can last from a few days to several years. A spot charter refers to a voyage charter or a trip charter or a short-term time charter. Under a bareboat charter, the vessel is chartered for a stipulated period of time, which gives the charterer possession and control of the vessel, including the right to appoint the master and the crew.

Offshore Drilling Operations

In January 2012, following the completion of the contract with Tul! low Oil p! lc (Tullow Oil) contract, discussed below, the Eirik Raude commenced a contract with Anadarko Cote d'Ivoire Com pany (Anadarko) for the drilling of two wells offshore West ! Africa. I! ts offshore drilling operations consist of the Ocean Rig Corcovado, the Ocean Rig Olympia, the Ocean Rig Poseidon and the Ocean Rig Mykonos. As of December 31, 2011, the Ocean Rig Corcovado was employed under a three-year contract, plus a mobilization period, with Petroleo Brasileiro S.A. (Petrobras Brazil) for drilling operations offshore Brazil. The Ocean Rig Olympia is operating under contracts to drill a total of five wells for exploration drilling offshore Ghana and the Ivory Coast. The Ocean Rig Poseidon commenced a contract with Petrobras Tanzania, a company related to Petrobras Oil & Gas B.V. (Petrobras Oil & Gas).

The Ocean Rig Mykonos commenced a three-year contract, plus a mobilization period, with Petrobras Brazil, on September 30, 2011, for drilling operations offshore Brazil. DryShips's wholly owned subsidiary, Ocean Rig AS, provides supervisory management services, including onshore management, to its operating drilling rigs and drillships. DryS hips also has contracts to provide offshore drilling services and drilling units.

Tanker Operations

The Company employs its Aframax tankers Saga, Daytona, Belmar and Calida, in the Sigma tanker pool, which consists of 46 Aframax tankers, with fourteen different pool partners. If that breakout triggers soon, then ACFN will set up to re-test or possibly take out its next major overhead resistance levels at $5.50 to $6 a share. Any high-volume move above $6 will then put its next major overhead resistance levels at its 200-day moving average of $6.35 to $6.68 a share into range for shares of ACFN.

    Traders can look to buy ACFN off any weakness to anticipate that breakout and simply use a stop that sits right below its 50-day at $3.66 a share, or right around some major support at $3.21 a share. One could also buy ACFN off strength once it starts to clear those breakout levels with volume and then simply use a stop that sits a comfortable percentage from your entry point.

These 10 Stocks Could Gain 10% By Year End

MKM Partners technical analyst Jonathan Krinsky isn’t–and hasn’t been–a fan of the overall market but that doesn’t mean he thinks investors should stay far away. Instead, he offers 10 stocks that have “lagged drastically” this year but could rise at least 10% by year-end. He explains:

The S&P 500 continued to grind higher last week, gaining a modest 0.39%, but good enough for its fourth consecutive weekly gain. The intra-week range was extremely narrow at just 0.78%, the seventh narrowest in the last 20 years. While the rate of ascent has slowed, the lack of any pullback in the major averages has been quite remarkable. On Friday the SPX closed above its 5 Day Moving Average for the 21st consecutive day. In the last 20 years, there have only been two such streaks that lasted longer. The most logical explanation is that many participants are trailing benchmarks, and are using any weakness to add in an attempt to catch-up. Despite the lack of movement in the SPX, there was continued deterioration in the Energy sector (-2%). This has kept downward pressure on the high yield index, of which energy is the largest weighting. The U.S. continues to be the best market globally, reaching multi-decade highs vs. the MSCI World Index. As a result, sentiment has become quite optimistic with the AAII Bull-Bear spread reaching the highest level in four years. While we still find the risk/reward in the “market” quite poor on a near-term basis, we recognize that the need to participate is real.

But who care about that right? You’re here for the stocks, so without further ado: AK Steel (AKS), teen-retailer Five Below (FIVE), FireEye (FEYE), GameStop (GME), Lululemon Athletica (LULU), Las Vegas Sands (LVS), MBIA (MBI), Peabody Energy (BTU), PulteGroup (PHM), Twitter (TWTR).

Krinsky explains why these stocks might be attractive:

Following the October low in equities, the correlation between stocks has completely broken down. Part of this is likely attributed to the energy sector, which has remained near its correction lows. While this low correlation can be viewed as a warning sign for the broad market (contrary indicator), it also provides opportunity to generate alpha. With the consensus that many participants are trailing their benchmark, and therefore forced to play catch-up, we found ten stocks that have significantly lagged the broad market YTD, and that we believe have at least 10% of upside potential into year-end on a technical basis. Most of these are not structurally bullish charts, but they all have near-term tactical qualities that should make them worthy of a trade over the next six weeks.

AK Steel, for instance has “strong support at $6, look for it to build off this level heading into year end,” Krinsky says, Las Vegas Sands is “breaking a short-term downtrend.” Peabody Energy, meanwhile, has a “short-term base, has plenty of room above $12,” and Twitter is “now trying to bounce off support,” and has room to trade as high as $48. And GameStop? It’s been basing for nearly a year and has “plenty of upside,” Krinsky says.

Of course, the fact that the year is ending means that investors are more likely to add to their winners and sell their losers heading into year end. And that’s what’s happening to most of these stocks today. AK Steel has dropped 1.4% to $6.45 at 12:31 p.m. today, while Las Vegas Sands has fallen 1.5% to $62.53, Peabody Energy has declined 0.9% to $11.29, GameStop is off 0.6% at $44.13 and Twitter has tumbled 2.7% to $40.72.

GM Fires 15 Staff Following Probe into Switch Recall

WARREN, Mich. -- General Motors (GM) says a pattern of incompetence and neglect, not a larger conspiracy or cover-up, is to blame for a long-delayed recall of defective ignition switches. GM CEO Mary Barra, who released the results of an internal investigation into the company's missteps on Thursday, said 15 employees -- many of them senior legal and engineering executives -- have been forced out of the company for failing to disclose the defect, which the company links to 13 deaths and 54 crashes in which the air bags didn't deploy. Five other employees have been disciplined. GM also said it will establish a compensation program for families of victims and those who suffered serious injuries in accidents related to the switches. The program is expected to begin taking claims Aug. 1. Barra called the 315-page report by attorney Anton Valukas, whom GM hired in March to do the investigation, "brutally tough and deeply troubling." It lays bare a company that operated in silos, and employees who didn't take responsibility for problems or treat them with any urgency. Mistakes were made repeatedly as far back as 2002, when GM decided to use a switch that didn't meet its own specifications. "That was a decision made by an engineer that led to tragic consequences," Barra said. Since February, GM has recalled 2.6 million older model Chevrolet Cobalts, Saturn Ions and other small cars because their ignitions can slip out of the "run" position and shut down the engine. That disables the power-assisted steering and brakes and can cause drivers to lose control. It also disables the air bags. Trial lawyers suing the company put the death toll close to 60. Failure To Act Deep within the company, engineers and others believed the ignition switch problem was an inconvenience, a "customer satisfaction" issue rather than a safety problem. Engineers believed that cars could still be steered when the engines shut off, even though the loss of power steering could cause drivers to lose control. In 2005, the company failed to make a repair that would have cost an estimated 57 cents. A year later, engineer Ray DeGiorgio -- who was among the 15 workers fired -- approved a change in the switch design but didn't follow GM's policy to change the part number. That made the problem much more difficult to track for investigators later on. Barra didn't directly answer a question about whether she should have figured out that the switches were a deadly problem. Before becoming CEO, she was product development chief for three years, and safety reported to her through GM's chain of command. "I wish I had known, because the minute we knew we took action," she said. Barra has said she first learned about the issue in December, before she became CEO on Jan. 15. Barra, a 34-year veteran of the company, told 1,000 employees gathered at GM's suburban Detroit technical center that the report was "enormously painful." "I hate sharing this with you just as much as you hate hearing it," Barra said, in a speech that was also broadcast to the company's 212,000 employees worldwide. "But I want you to hear it. I want you to remember it. I want you to never forget it." 'Best Report Money Can Buy' But some were critical of the report and its conclusions, which spared Barra and other top executives. "It seems like the best report money can buy," said Sen. Richard Blumenthal, D-Conn. "It absolves upper management, denies deliberate wrongdoing, and dismisses corporate culpability." Barra said Valukas interviewed 230 employees and reviewed 41 million documents to produce the report, which also makes recommendations to avoid future safety problems. The government released the report around noon Thursday. Barra said the report found that individuals who could have helped uncover the problem didn't speak up.

"Because of the actions of a few people, and the willingness of others in the company to condone bureaucratic processes that avoided accountability, we let these customers down," Barra said. She again apologized to the families of those who died, well as those who were injured. Last month, GM paid a $35 million fine -- the largest ever assessed by the National Highway Traffic Safety Administration -- for failing to report the problem quickly to federal regulators. GM knew about problems with the ignition switches as early as 2001, and in 2005 it told dealers to tell owners to take excess items off their key chains so they wouldn't drag down the ignition switch. NHTSA also investigated the issues twice, in 2007 and 2010, but was unable to show that Cobalts were stalling or their air bags were failing to deploy at higher rates than peer vehicles. GM began repairing the cars in April, and had fixed 113,000 as of Thursday, Barra said. But the company doesn't expect to fix them all until October. GM says the cars are safe as long as customers only use the key and have no extra items on their key chains. Barra named a new safety chief at GM in March and pledged to quickly work through a backlog of potential recalls. As a result, the automaker has recalled a record 15.8 million cars and trucks in North America so far this year. The company took a $1.3 billion charge in the first quarter to pay for the recalls. It expects to take a $400 million recall-related charge in the second quarter. The report doesn't complete GM's recall saga. The automaker still faces a criminal investigation by the U.S. Department of Justice -- led by the same team that recently reached a $1.2 billion settlement with Toyota (TM) over its 2010 sudden acceleration recall. It also faces multiple lawsuits from victims and from owners whose say their cars have lost value. Barra, who testified before House and Senate committees in April, will also likely be called back to Washington. Sen. Claire McCaskill, D-Mo., chairman of the Senate Commerce, Science and Technology Committee's consumer protection subcommittee, said she intends to hold a hearing on the delayed recalls later this summer. "I won't be letting GM leadership, or federal regulators, escape accountability for these tragedies," she said in a statement. "The families of those affected deserve no less." Compensation Program Launched Separately, General Motors said it will launch a compensation program for crash victims or their families as a result of faulty ignition switches linked to at least 13 deaths that prompted a recall of 2.6 million cars. The company said it expects the program will start accepting claims Aug. 1 but hasn't said how much money will be involved. Guidelines and other details will be developed in the coming weeks, GM said. The fund will be administered by compensation expert Kenneth Feinberg. GM announced in April the hiring of Feinberg, who handled the Sept. 11 Victim Compensation Fund as well as funds for victims of the Boston Marathon bombing and the BP oil spill. NBA's Silver: Legalize sports gambling

adam silver NBA Commissioner Adam Silver. NEW YORK (CNNMoney) NBA Commissioner Adam Silver became the first major sports executive to come out in favor of legalized sports gambling Friday.

Don't bet on him being the last.

Silver was acknowledging what has been obvious in the world of sports for decades: people like to gamble on their favorite games, and will find ways to do so, no matter what the law says.

"Gambling has increasingly become a popular and accepted form of entertainment in the United States," Silver wrote in an Op-Ed Friday in The New York Times.

"Most states offer lotteries," He wrote. "Over half of them have legal casinos." He quoted estimates that $400 billion is wagered on sports every year.

In the Op-Ed, Silver called on Congress to change the law prohibiting sports gambling in most of the country since 1992.

Leagues have opposed sports betting because of the possibility it could compromise their games' integrity -- a big concern ever since the thrown World Series in 1919, where Chicago players conspired with gamblers to intentionally lose the games. That's also the main reason that despite being an attractive and growing market, no major sports team is based in Las Vegas.

Silver says it is important to protect the integrity of games, but argues that it would be easier, not tougher, with legalized gambling.

"I believe that sports betting should be brought out of the underground and into the sunlight where it can be appropriately monitored and regulated," he said.

The National Football League, Major League Baseball and the NCAA did not have a comment Friday on Silver's position.

But there are already some signs of a change of heart at the NFL, the same league that once banned Vegas tourism commercials from the Super Bowl lest it be seen as endorsing gambling.

On Friday, the Washington Redskins announced a marketing agreement with FanDuel, which runs daily fantasy games. And the New England Patriots already have a deal with a rival site DraftKings.

Fantasy sports is a form of sports gambling which is allowed under current law. It is estimated to be a $1.4 billion a year business.

But beyond those kinds of sponsorship deals, the leagues are betting that the biggest side benefit that gambling will generate is greater interest in their sport.

More interest means even better ratings for what has increasingly become the most valuable programming on television. And that means even bigger broadcast rights deals for the leagues, which is where the big money lies.

Burger King (NYSE:BKW) has promised consumers since the 1970s that they could ��ave it your way.�� Investors are now starting to take notice.

The Miami-based burger chain yesterday reported it earned an adjusted profit of 23 cents per share, two cents higher than analysts expected. Revenue slumped 40% to $275.1 million, beating the $266.6 million consensus Wall Street forecast. Comparable sales in the U.S. and Canada fell 0.3%, which measures revenue growth at locations opened at least a year, as Burger King was hurt by stiff competition from rivals and soft consumer demand. That was worse than the 0.8% gain analysts had expected.

Shares of Burger King, which have surged more than 27% so far this year, rose $1.14, or 5.77%, to $20.85. They have outperformed McDonald�� (NYSE:MCD), which rose more than 8.53% so far this year. Wendy�� (NYSE:WEN) has done better than both of them, surging more than 58%.

Burger King also leads McDonald�� when it comes to taste though Wendy�� is favored by consumers over both chains, according to market researcher Technomic. The Home of the Whopper also is hoping that diners will respond favorably to its plan to remodel 40% of its restaurants in the US and Canada by 2015. It also is offering delivery in some markets.

El Pollo Loco (LOCO) has seen its stock more than double since it went public at $15 in July. The California-based eatery had its first chance to impress investors with its first quarterly report as a public company on Thursday. It didn't disappoint. Sales inched 6.3 percent higher to $86.9 million, fueled primarily by a 5.4 percent increase in system-wide comparable-restaurant sales. Adjusted earnings climbed 10 percent to $6.1 million -- or 16 cents a share. The results were in line with analyst targets of 16 cents a share in net income on $86.4 million in sales. According to the firm, two factors that keep customers coming back are "selection" and "pricing." Consumer Edge Insight recently surveyed restaurant customers to find out which casual-dining spots generated the most loyalty with their alcoholic beverages. Sysco (SYY) -- Winner Leave it to a food company to eat the competition. Sysco is the country's largest food service company, providing restaurants, schools, and other institutions with their edibles. It's about to get bigger. Sysco kicked off the week by announcing a deal valued at $3.5 billion in cash and stock for its nearest competitor, US Foods. There isn't likely to be a lot of regulatory hassle over the combination. This is a highly fragmented sector, with Sysco commanding just 18 percent of the overall market. It will be 27 percent after completing the deal. Given the nature of the business, there are advantages of being big, and Sysco is about to get substantially bigger at a reasonable price relative to its own valuation. lululemon athletica (LULU) -- Loser Shares of Lululemon stumbled 12 percent on Thursday after the retailer of high-end yoga apparel offered up a gloomy outlook for the holiday quarter.     Alamy Fried chicken and waffles is a staple menu item at countless soul food and comfort food restaurants, but that's not stopping Burger King (BKW) from trying to give the meal a fast-food spin. Burger King is testing a new sandwich in the Northeast that takes the breaded chicken patty used in its Classic Crispy Chicken Sandwich from its King Deals Value Menu and replaces the bun with a split waffle. Burger King's Chicken & Waffle Sandwich isn't as hearty as the meal that it's based on. It's selling for as little as $2.29. But the chain's latest attempt to turn heads with a unique menu item will at least attract curious nibblers if it does decide to broaden the offering across the country. Waffling About Burger King isn't the first popular chain to attempt to reinvent this classic dish. As Nation's Restaurant News points out, last summer, Popeyes Louisiana Kitchen (PLKI) offered Chicken Waffle Tenders -- consisting of chicken tenders dipped in a vanilla maple-scented waffle batter, served with a honey maple dipping sauce. DineEquity's (DIN) IHOP did it three years ago by combining its chicken strips with Belgian waffle quarters. Yum! Brands (YUM) tried to breathe new life into its breakfast business last summer by testing a Waffle Taco -- an egg, sausage, and waffle breakfast sandwich. Even if it doesn't succeed -- and some of the early taste tests haven't been very flattering to the chain's new sandwich -- it's at least comforting to see that Burger King isn't just copying McDonald's (MCD) the way that it has for the past couple of years. Burger King followed McDonald's in offering fancy coffee drinks, fresh fruit smoothies, and popcorn chicken. It has gone on to roll out doppelgangers of the Egg McMuffin and McRib sandwiches. Arcos Dorados Holdings Inc., incorporated on December 9, 2010, is a McDonald�� franchisee. As of December 31, 2010, the Company operated or franchised 1,755 McDonald��-branded restaurants, which represented 6.7% of McDonald�� total franchised restaurants globally. It operates McDonald��-branded restaurants under two different operating formats, Company-operated restaurants and franchised restaurants. As of December 31, 2010, of its 1,755 McDonald��-branded restaurants in the territories, 1,292 (or 74%) were Company-operated restaurants and 463 (or 26%) were franchised restaurants. It generates revenues from two sources: sales by Company-operated restaurants and revenues from franchised restaurants, which consist of rental income, which is based on the greater of a flat fee or a percentage of sales reported by franchised restaurants. As of December 31, 2010, it owned the land for 510 of its restaurants (totaling approximately 1.2 million square meters) and the buildings for all but 12 of its restaurants. It divides its operations into four geographical divisions: Brazil; the Caribbean division, consisting of Aruba, Curacao, French Guiana, Guadeloupe, Martinique, Puerto Rico and the United States Virgin Islands of St. Croix and St. Thomas; North Latin America division (NOLAD), consisting of Costa Rica, Mexico and Panama, and South Latin America division (SLAD), consisting of Argentina, Chile, Colombia, Ecuador, Peru, Uruguay and Venezuela. Company-Operated and Franchised Restaurants

The Company operates its McDonald��-branded restaurants under two basic structures: Company-operated restaurants operated by the Company and franchised restaurants operated by franchisees. Under both operating alternatives the real estate location may ! either be owned or leased by the Company. It owns, fully manages and operates the Company-operated restaurants and retains any operating profits generated by such restaurants, after paying operating expenses and the franchise and other fees owed to McDonald�� under the Master Franchise Agreements (MFAs). In Company-operated restaurants, it assumes the capital expenditures for the building and equipment of the restaurant and, if it owns the real estate location, for the land as well. Under its franchise arrangements, franchisees provide a portion of the capital required by initially investing in the equipment, signs, seating and decor of their restaurants, and by reinvesting in the business over time. It is required by the MFAs to own the real estate or to secure long-term leases for franchised restaurant sites. It subsequently leases or subleases the property to franchisees.

In exchange for the lease and services, franchisees pay a monthly rent to the Company, based on the greater of a fixed rent or a certain percentage of gross sales. In addition to this monthly rent, it collects the monthly continuing franchise fee, which generally is 5% of the United States dollar equivalent of the restaurant�� gross sales, and pays these fees to McDonald�� pursuant to the MFAs. However, if a franchisee fails to pay its monthly continuing franchise fee, it remains liable for payment in full of these fees to McDonald��. As of December 31, 2010, it was engaged in several joint ventures, which collectively owned 24 restaurants, in Argentina, Chile and Colombia.

Restaurant Categories

The Company classifies its restaurants into one of four categories: freestanding, food court, in-store and mall stores. Freestanding restaurants are the type of restaurant, which have ample indoor seating and include a drive-through area. Food court restaurants are located in malls and consist of a front counter and kitchen and do not have their own seating area. In-store restaurants are part ! of a larg! er building and resemble freestanding restaurants, except for the lack of a drive-through area. Mall stores are located in malls like food court restaurants, but have their own seating areas. As of December 31, 2010, 808 (or 46.2%) of its restaurants were freestanding, 359 (or 20.5%) were food court, 265 (or 15.1%) were in-stores and 319 (or 18.2%) were mall stores. In addition, it has four non-traditional stores, such as food carts.

Reimaging

As of December 31, 2010, the Company had completed the reimaging of 308 of 1,569 restaurants. Many of the reimaging projects include the addition of McCafe locations to the restaurant. It has developed system-wide guidelines for the interior and exterior design of reimaged restaurants.

McCafe Locations and Dessert Centers

McCafe locations are stylish, separate areas within restaurants where customers can purchase a range of customizable beverages, including lattes, cappuccinos, mochas, hot and iced premium coffees and hot chocolate. As of December 31, 2010, there were 267 McCafe locations in the Territories, of which 12% were operated by franchisees. Argentina, with 71 locations, has McCafe locations, followed by Brazil, with 67 locations. In addition to McCafe locations, it has Dessert Centers. Dessert Centers operate from existing restaurants, but depend on them for supplies and operational support. As of December 31, 2010, there were 1,306 Dessert Centers in the Territories.

Product Offerings

The Company�� menus feature three tiers of products: affordable entry-level options, such as its Big Pleasures, Small Prices or Combo del Dia (Daily Extra Value Meal) offerings, core menu options, such as the Big Mac, Happy Meal and Quarter Pounder, and premium options, such as Big Tasty or Angus premium hamburgers and chicken sandwiches and low-calorie or low-sodium products, which are marketed through common platforms rather than as individual items. These platforms can be based on the ty! pe of pro! ducts, such as beef, chicken, salads or desserts, or on the type of customer targeted, such as the children�� menu.

    Internationally, Jamba still has a small presence, but it made a big step by making a master franchise development agreement to open 80 stores throughout Mexico beginning later this year. The success that Arcos Dorados (NYSE: ARCO  ) has had in Mexico and other Latin American countries in franchising McDonald's (NYSE: MCD  ) locations shows the huge potential that the region has generally for American restaurants, and focusing on warmer climates should help Jamba avoid the seasonality it suffers colder markets like the U.S. and Canada.
