NEW YORK (AP) -- The National Retail Federation on Tuesday urged a federal judge to reject a proposed $7.2 billion settlement with Visa (NYSE: V  ) and MasterCard (NYSE: MA  ) over alleged fee-fixing.

Retailers had until Tuesday to opt out of the agreement, if they wished to pursue future legal action. Retailers who didn't opt out by the deadline were automatically be considered to have accepted the settlement.

Last week, Macy's (NYSE: M  ) , Target (NYSE: TGT  ) , and other major retailers rejected the settlement and filed their own lawsuit.

In its brief filed in U.S. District Court in Brooklyn, N.Y., the National Retail Federation called the settlement a "surrender" that doesn't address price fixing by the credit card processing companies and their banks.

Visa, MasterCard, and other card companies agreed in July to settle a lawsuit brought by retailers in 2005 that claimed card issuers conspired to fix the fees they charge stores for accepting credit cards.

LONDON -- Christopher Bailey, the designer credited with restoring the cachet to fashion brand Burberry, is to become chief executive next year when long-standing boss Angela Ahrendts will move to Apple. The 157-year-old British fashion house, famous for its camel, red and black check pattern, said Tuesday that Ahrendts would step down by mid-2014 after which Bailey would combine his role as chief creative officer with chief executive. News the 42-year-old Yorkshireman would hold both positions sparked concern among some analysts that he might be taking on too much, and sent shares in the group down 6 percent in early trading, valuing the business at 6.6 billion pounds. "There will undoubtedly be relief that Mr. Bailey, the driving force behind the brand for the last 12 years, is staying," Morgan Stanley (MS) said in a note to clients. "But we anticipate some investor concern about combining the chief creative officer and CEO roles, which are both time consuming and require very different skill sets." Ahrendts, who has been Burberry (BURBY) boss for eight years, during which time its share price has soared about 250 percent, will take up a newly created position at Apple as a senior vice president with oversight of retail and online stores. She will report directly to CEO Tim Cook. Ahrendts will be looking to do better than the last chief executive of a British company who left London to join Apple (AAPL) -- John Browett who quit Dixons to lead the iPad and iPhone maker's global retail expansion in 2012. He left six months later. The great debate over natural gas exports has taken a very interesting turn. President Obama, in a speech last weekend, hinted that the U.S. could be a net exporter of gas by the end of the decade. This move, it would appear, puts him on the same side as none other than ExxonMobil (NYSE: XOM  ) .

    Take George Risk (RSKIA). All of their competitors moved overseas. They��e still in Nebraska. Management doesn�� really claim they can either be better or cheaper than their competitors. They know they can�� be cheaper. And as far as better ��this isn�� dark chocolate they��e selling. Beyond customization, timeliness, and reliability ��I�� not sure the idea of ��uality��has much meaning in that business. It�� either frustration-free or it�� not. The two things George Risk can be are timely and customized. Both of those things are easier to be ��for American customers ��if you are manufacturing in the U.S.

There were risks ��customer concentration for one ��and it was no blue chip. There was no diversification of product lines, customers, geography, industry, etc. It was closely tied to U.S. construction activity.

    All this means it was no blue chip. Not that it didn�� have a moat. I felt it did. And certainly not that it wasn�� a high quality business. It demonstrably was (unleveraged returns on tangible equity were around 30%). And it was a net-net. In fact, it was a net cash stock at one time.

    So they do happen. But they are rare. The usual distinction with net-nets is not between companies like that ��companies which may have a moat, do earn good returns on capital, etc. ��but between companies that are legitimate and illegitimate businesses.

    A legitimate business is ��in my mind ��a historically profitable one. It is likely to have positive retained earnings (there are exceptions to this rule ��but it�� a good first check). It should have more years of profits (6 or more) than losses in the last 10 years. And it should be self-financing.

    Compare this to an illegitimate business. The least legitimate businesses are those that ��while publicly traded ��have never turned a profit and can�� self finance. They may be net-nets ��but they are net-nets because they have issued stock in the past and then seen their share prices drop. Retained earnings are often negative.

    There are other factors to consider. Is the business old or young? Is depreciation ��and other accounting ��especially conservative or aggressive? Are taxes especially conservative or aggressive? And is share issuance dilutive or not.

    I think a legitimate business tends towards LIFO accounting, quicker depreciation, higher taxes paid as a percentage of reported income, and lower share issuance. There are exceptions. Many
